OFFICIAL SWEEPSTAKES RULES

NO PURCHASE OR COMPLETION OF A SURVEY IS NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED OR RESTRICTED BY APPLICABLE LAWS AND REGULATIONS. OPEN TO LEGAL RESIDENTS OF THE UNITED STATES EXCLUDING PUERTO RICO AND ALL OTHER U.S. TERRITORIES AND POSSESSIONS.

The Weekly Sweepstakes ("Weekly Sweepstakes") and Grand Prize Sweepstakes ("Grand Prize Sweepstakes"; collectively, the "Sweepstakes") are sponsored by ChatThreads Corporation, 1318 Beacon Street, Suite 9, Brookline, MA 02446 ("Sponsor").

1. Eligibility:

The Sweepstakes is open only to legal residents of the United States and the District of Columbia (excluding residents of Puerto Rico and all other U.S. Territories and Possessions) who are physically located and residing therein and who are thirteen (13) years of age or older at the time of the Sweepstakes entry. Employees, officers, directors, agents, representatives and independent contractors of Sponsor and their immediate family members and members of the same households (whether related or not), its advertising and promotion agencies, manufacturers or distributors of any Sweepstakes materials or prizes, and their respective parents, subsidiaries and affiliated companies (collectively, the "Sweepstakes Entities") are not eligible to enter or participate in this Sweepstakes or win any Prize. Persons who have requested to have ChatThreads make a donation to charity rather than enter the Sweepstakes are not eligible to enter the Sweepstakes, either online or by a mail-in entry. Additional eligibility requirements may be associated with specific programs that ChatThreads conducts. Any additional eligibility requirement(s) will be posted in the Sweepstakes Surveys.

2. How to Enter:

Online:

Visit http://www.chatthreads.com and complete the Sweepstakes Surveys during the applicable Sweepstakes Period. You can enter the Sweepstakes by indicating your desire to do so at the end of the Sweepstakes Surveys. All online entries must be received within the applicable Sweepstakes Period. If you wish to enter the Sweepstakes without completing the Sweepstakes Surveys, use the mail-in entry option described below. In case of dispute as to the owner of an online entry, online entry will be deemed to have been submitted by the authorized account holder of the e-mail address from which the entry is made. The "authorized account holder" is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. A selected entrant may be required to provide Sponsor with proof that he/she is the authorized account holder of the e-mail address associated with the selected entry. Limit one entry every seven (7) days per person, per email address, and per organization, brand, product or service discussed. Your entry to a Weekly Sweepstakes automatically enters you to the Grand Prize Sweepstakes. Sweepstakes entries become the property of Sponsor.

Data Collection:

Information submitted in connection with the Sweepstakes will be treated in accordance with these Official Rules and Sponsor�??s Privacy Policy (as may be amended from time to time), currently located at http://www.chatthreads.com/privacypolicy/; provided, that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail.

By Mail:

To enter by mail print your name, address, date of birth, e-mail address, and organization, brand, product, or service discussed and mail to: ChatThreads Corporation, 1318 Beacon Street, Suite 9, Brookline, MA 02446, Attn: Sweepstakes in a postage prepaid envelope. Your entry must be post-marked on or prior to June 30, 2010 and received by Sponsor by July 7, 2010. Limit one entry every seven (7) days per person, per mailing envelope, and per organization, brand, product, or service discussed. Proof of sending will not be deemed to be proof of receipt by Sponsor and Sponsor will not verify receipt of entries. Entries delayed past the submission deadline of the Sweepstakes Period will not be accepted and will be destroyed. Your entry to a Weekly Sweepstakes automatically enters you to the Grand Prize Sweepstakes. Sweepstakes entries become the property of Sponsor. No mechanically reproduced or computer-generated requests allowed; only original, hand-printed requests for those participating by mail.

Entering this Sweepstakes constitutes entrant�??s full and unconditional agreement to and acceptance of these Official Rules, including, but not limited to, entrant�??s consent to receive email messages from Sponsors in connection with the Sweepstakes.

3. Sweepstakes Period:

The Sweepstakes Period ("Sweepstakes Period") begins at 12:01AM Eastern Time on January 1, 2010 and ends at 11:59 PM Eastern Time on June 30, 2010.

4. Prizes:

There is exactly twenty one (1) prize (�??Prize") available to be won in the Sweepstakes as follows:

1 Grand Prize consisting of a $1,000 Amazon.com gift certificate ("Grand Prize") will be awarded.

All gift certificates will be awarded in the form of a code redeemable at Amazon.com. The aggregate value of ALL prizes available to be won in this Sweepstakes is $1,000 USD. All prizes will be delivered via email to the address provided at the time of entry. No cash or other substitution may be made, except by Sponsor, who reserves the right, in its sole discretion, to substitute a Prize with another prize of greater or equal value in the event that a Prize is unavailable or cannot otherwise be awarded as described.

All federal, state, and local taxes, fees and other expenses not specified herein are the responsibility of the applicable Prize winner (each, a "Winner"). Sweepstakes Entities are not responsible for any federal, state or local taxes Winners may incur in connection with the awarding of any Prizes. Sponsor or its agents may be required to advise the United States Internal Revenue Service of the value of Prizes awarded and Winners are responsible for permitting proper filing and the issuance of an IRS Form 1099.

Name of gift certificate brand is used for purposes of Prize description only and such use is not intended to suggest or imply Amazon.com�??s sponsorship, endorsement, or the approval of this Sweepstakes. Amazon.com is not a participant or sponsor of this Sweepstakes. The Amazon.com gift certificates awarded pursuant to this Sweepstakes shall be subject to the terms and conditions of the certificates and the laws and regulations of the Winner�??s jurisdiction of residence. Additional prizes may be associated with specific programs that ChatThreads conducts. Any additional prize(s) to be won will be posted in the Sweepstakes Surveys.

5. Prize Drawing:

Weekly Prizes:

There will be a total of 25 random, computer-generated winning times seeded once per calendar week over the course of the Sweepstakes Period. If your entry is the first one received on or just after one of those times, you will be eligible to win the weekly prize designated to that time, subject to meeting the eligibility requirements provided herein. Potential Weekly Prize Winners will be notified immediately on screen. Mail-In entries will be manually entered into the Weekly Prize pool upon receipt and any mail-in Winners will be notified via e-mail.

All entries are subject to verification, confirmation and compliance with these Official Rules. Odds of winning a Weekly Prize will depend on the time your entry is received and the total number of eligible entries received.

Grand Prize:

The potential Grand Prize winner will be selected in a random drawing to be held on or about July 5, 2010 from all valid entries received during the Sweepstakes Period as defined herein. Limit one Grand Prize. The potential Grand Prize Winner will be notified within three (3) days of the random drawing date by e-mail.

The number of eligible entries received will determine the odds of winning a Grand Prize.

6. Limitation on Liability:

Entrants assume all risk of loss, damage, destruction, delay or misdirection of materials/mail/email submitted to Sponsor. By entering, each entrant agrees to these full Official Sweepstakes Rules, and to all decisions of Sponsor, or their designated agent, which are final and legally binding in all respects and further agree that Prizes are awarded upon the condition that Sweepstakes Entities shall be held harmless for any injuries, losses, or damages of any kind to persons or property, including death, sustained, in whole or in part, directly or indirectly, in connection with or resulting from acceptance, possession or use/misuse of the Prizes, or participation in this Sweepstakes or participation in or travel to any Sweepstakes-related activities and further acknowledge that said parties have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to any Prize. The Sweepstakes Entities are not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled, or delayed computer transmissions, whether caused by Sponsor, users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by technical or human error which may occur and/or which may damage a user's system or limit a entrant�??s ability to participate in the Sweepstakes. Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents will void all entries by that entrant. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CIVIL LAW. SHOULD AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and/or to cancel, terminate, modify or suspend the Sweepstakes or any element thereof and Sponsor may conduct a random drawing to award the Prize using all eligible, non-suspect entries received as of the date of action requiring such termination. Should any provision of these Official Sweepstakes Rules be deemed unenforceable or invalid, the other provisions of these Official Sweepstakes Rules shall remain in full force and effect. Sponsors�?? failure to enforce any term of these Official Sweepstakes Rules shall not constitute a waiver of that provision. In the event that this Sweepstakes is challenged by any legal or regulatory authority (including but not limited to any federal or state governmental authority), Sponsor reserves the right to discontinue or modify the Sweepstakes, as applicable, or to disqualify any entrants residing in any affected geographic areas, as applicable. In such event, Sponsor shall have no liability to any entrants who are disqualified due to such an action.

7. Publicity Release:

Unless prohibited by law, by accepting a Weekly Prize or a Grand Prize the Winner, or his or her parent or legal guardian if such Winner is under the age of majority in his or her jurisdiction of residence, gives permission to the Sponsor, its designees and agents for the right to use the Winner�??s image and or likeness and name in any form of written or photographic medium including all rights of publicity. Unless prohibited by law, the Winner further agrees not to take any action or allow any other person to so act as to impede any use of the Winner�??s image and or likeness and name in any publicity related to the Prize.

8. Governing Law:

By completing the act of entering the Sweepstakes each entrant agrees that the Sweepstakes shall be governed by the laws of the State of Massachusetts. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Sweepstakes Rules shall be governed and constructed in accordance with the laws of the State of Massachusetts.

9. Force Majeure:

The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, terrorism, fire, riot, earthquake, actions of governmental authorities outside the control of Sponsor or other force majeure event shall not be considered a breach of these Official Rules.

10. Dispute Resolution:

Any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes, including, without limitation, relating to any prizes awarded or not awarded, shall be resolved individually, without resort to any form of class action, and exclusively by binding arbitration in Boston, Massachusetts, by a single arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys' fees."

Winners List will be available after July 15, 2010.

Kentucky residents may request postage reimbursement, by writing "Please reimburse postage" on the entry (reimbursement will be in the form of two first-class U.S. Postal Service postage stamps), and Vermont residents may omit return postage on the self-addressed envelope.
